These terms govern access to Papilio software and services provided by QVT Technology Limited. By using Papilio, you agree to them.

Agreement

These Terms of Use (“Terms”) are a contract between you and QVT Technology Limited (“we”, “us”) for use of Papilio websites, software, and related services (“Papilio”).

By accessing or using Papilio — including requesting early access, creating an account, or using paid features — you agree to these Terms and to our Privacy Policy. If you do not agree, do not use Papilio.

The service

Papilio provides payments and data infrastructure tools. Features, availability, and pricing may change as the product develops. We may run beta or preview programs; those may have separate terms or limits communicated at signup.

We work to keep Papilio reliable but do not guarantee uninterrupted or error-free operation. Scheduled or emergency maintenance may affect availability.

Your account

You are responsible for activity under your account, for keeping credentials secure, and for ensuring that anyone you invite complies with these Terms. You must provide accurate registration information and notify us promptly of unauthorised use.

You may not use Papilio to break the law, to infringe others’ rights, to send spam, to probe or attack our systems without authorisation, or to reverse engineer the service except where applicable law forbids that restriction.

When you connect third-party payment or accounting providers, you authorise Papilio to exchange data with those providers as needed to run the integrations you configure. Your relationship with each provider remains governed by their terms.

Liability

To the maximum extent permitted by New Zealand law, Papilio is provided “as is”. We exclude implied warranties where allowed. Our total liability arising from these Terms or your use of Papilio is limited to the fees you paid us in the twelve months before the claim (or, if none, NZD $100).

We are not liable for indirect, consequential, or special loss, or for loss of profits, revenue, data, or goodwill, except where liability cannot be excluded under the Contract and Commercial Law Act 2017 or other mandatory law.

Nothing in these Terms limits liability for death or personal injury caused by negligence, fraud, or any other liability that cannot legally be limited.

Changes

We may update these Terms from time to time. We will post the current version at papilio.sh/terms and update the date at the top of this page. If a change is material, we will notify you by email or in-product notice where practical. Continued use after the effective date constitutes acceptance unless applicable law requires otherwise.
